Terms of use

SupplyRoute supports decisions. It does not replace due diligence.

These launch terms describe the intended product rules. They are not a substitute for final terms approved by qualified counsel.

Marketplace role

SupplyRoute provides sourcing, matching, RFQ, quote comparison and collaboration tools. Buyers and suppliers remain responsible for their negotiations, contracts, products, regulatory obligations, taxes, customs, shipping, payments and performance.

Accurate information

Users must provide truthful, current information and must have authority to publish, upload or share it. Supplier claims and uploaded evidence may be reviewed, but SupplyRoute does not guarantee their accuracy or independently certify a business.

Acceptable use

Users may not impersonate another party, scrape private records, submit malicious content, evade eligibility rules, misuse contact information, infringe intellectual property or use the service for unlawful goods or transactions.

Commercial terms

Preview accounts do not require a card and will not automatically become paid subscriptions. Buyer subscription prices and planned allowances are listed on the pricing page. Recurring subscriptions are not active. When Helcim checkout is enabled, buyers can explicitly purchase 30 days of access to currently available sourcing tools and the displayed request allowance. Planned features are excluded; unused requests expire and purchases do not renew automatically. A 5% platform fee applies on every job or order sold between buyers and suppliers connected through SupplyRoute, including repeat and directly arranged subsequent orders with no 12-month cutoff. The fee applies to the product or service subtotal, excluding separately itemized freight, duties and taxes. The buyer pays by default. Buyer and supplier may agree in writing to share the same fee equally or in a custom allocation; the combined fee remains 5%. On confirmed deal closing, the final eligible sale subtotal is used to generate an invoice for each party’s nonzero share. Payment terms follow the accepted agreement. Cancellations, refunds and agreed adjustments must be reflected in the confirmed final subtotal; later changes require invoice review or credit. Buyer subscriptions are separate. Fee terms must be accepted in writing before an award is recorded. See the fee explanation at /fees for examples. Existing accepted agreements retain their stated terms unless the parties agree to an update. An agreement record does not authorize SupplyRoute to withdraw funds, hold escrow, place an order or award business.

RoutePass credits and repeat orders

Each party earns credits equal to 5% of the net platform fee actually paid after any credits applied, activated after SupplyRoute verifies payment. Credits belong to that buyer–supplier relationship, are not transferable, have no cash value and may cover up to 25% of a party’s share of a future platform fee with the same partner. They do not fund goods or services or improve supplier rankings. Duplicate or unverified sales do not qualify. Report refunds or disputed fee payments to SupplyRoute for review before using related credits. A reorder creates a draft only; prices, dates, supplier capacity and evidence require reconfirmation. Relationship terms are buyer-recorded references, not a SupplyRoute guarantee or an electronic signature for another party.

Transactions and risk

Platform-access purchases use Helcim when checkout is enabled. Buyer–supplier order payments, escrow and settlements remain outside SupplyRoute. A match score, directory approval or company-registry result is not an endorsement, warranty, sanctions clearance, legal opinion or promise of performance. Users must complete appropriate legal, financial, product and trade due diligence.

Effective September 20, 2026. These product policies should be reviewed by qualified legal counsel before commercial launch in each jurisdiction.
